PLEASE READ THESE TERMS OF USE CAREFULLY.THESE TERMS GOVERN YOUR ACCESS TO AND USE OF THE uDINK MOBILE APPLICATION, WEBSITE, AND RELATED SERVICES, INCLUDING COMMUNITY FEATURES, SESSION DISCOVERY, SESSION ORGANISATION, PAID AND UNPAID SESSION PARTICIPATION, DIGITAL FEATURES, AND OTHER PRODUCTS OR SERVICES MADE AVAILABLE THROUGH uDINK OR ITS PAYMENT AND DISTRIBUTION CHANNELS.BY DOWNLOADING, ACCESSING, CREATING AN ACCOUNT, OR USING uDINK, YOU AGREE TO BE BOUND BY THESE TERMS.IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, ACCESS, OR USE uDINK.
1. Parties
These Terms of Use (“Terms”) are entered into between:You, the individual accessing or using the Platform (“you”, “your”, or “User”); andActivEdge Solutions Pte. Ltd. (UEN 202107711M), operating as uDINK (“uDINK”, “we”, “us”, or “our”).These Terms supersede and replace any prior terms or agreements relating to your use of uDINK.
2. Platform Description
uDINK is a digital pickleball platform that enables users to discover venues, find and create sessions, join games, connect with other players, participate in groups, and access related community and platform features (the “Platform”).uDINK may also enable users to join paid real-world pickleball sessions and facilitate related booking, waitlist, confirmation, and payment-status workflows.The Platform is provided for general informational, recreational, organisational, and community purposes only. uDINK does not provide medical, healthcare, coaching, legal, or professional advisory services.
3. Eligibility and User Responsibilities
3.1 EligibilityBy using the Platform, you represent and warrant that:you are at least 16 years old, or you have valid consent from a parent or legal guardian where required by applicable law;you have the legal capacity to enter into these Terms;you are not prohibited by applicable law from using the Platform;you have not previously been suspended or removed from the Platform for violating these Terms or applicable law.3.2 Personal ResponsibilityYou are solely responsible for your use of the Platform and for your decisions relating to training, participation, attendance, play, hosting, communication, payment, and interaction with other users.uDINK does not guarantee the quality, safety, legality, suitability, availability, accuracy, conduct, or outcome of any venue, session, group, event, host, player, or user interaction.3.3 Safety and Health DisclaimerParticipation in pickleball, sports, exercise, travel, and in-person activities carries risk.You acknowledge and agree that:you are solely responsible for determining whether participation in any activity is appropriate for you;you should consult a qualified medical professional before engaging in physical activity if you have any health concerns;uDINK is not responsible for injuries, accidents, medical issues, disputes, property loss, venue incidents, or other harm arising from your participation in activities arranged through or discovered on the Platform.
4. User Accounts
To access certain features, you may need to create an account.You agree to:provide accurate, current, and complete information;keep your login credentials secure and confidential;accept responsibility for activity occurring under your account;notify us promptly of any suspected unauthorized use of your account.We may suspend, restrict, or terminate your account if:you violate these Terms;we reasonably suspect fraud, misuse, unlawful conduct, or abusive behavior;we are required to do so by law, regulation, court order, or platform policy;your use creates risk for us, the Platform, payment providers, venues, hosts, or other users.
5. Acceptable Use
You agree not to:use the Platform for unlawful, fraudulent, abusive, misleading, or exploitative purposes;impersonate any person or misrepresent your identity, affiliations, skill level, authority, or eligibility;post false, defamatory, harassing, threatening, obscene, discriminatory, or otherwise objectionable content;interfere with, disrupt, damage, or reverse engineer the Platform;attempt unauthorized access to accounts, systems, data, or networks;upload malware, malicious code, or harmful content;scrape, harvest, or collect data from the Platform without authorization;use the Platform in a way that infringes another person’s rights;use the Platform to spam, solicit, manipulate, exploit, or harm other users;create fake sessions, fake listings, fake profiles, fake payments, or misleading group, venue, or event information.We may remove content, restrict access, suspend accounts, or take other action where we believe conduct or content violates these Terms or creates risk to the Platform or its users.
6. User Content
You may submit content through the Platform, including profile information, group details, session information, venue submissions, comments, messages, images, and other materials (“User Content”).You retain ownership of your User Content, but by posting or submitting it through the Platform, you grant uDINK a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt, distribute, and otherwise use that User Content solely for the purpose of operating, improving, promoting, moderating, and providing the Platform.You are solely responsible for your User Content and represent that:you have the rights necessary to submit it;it does not violate law or third-party rights;it is not false, misleading, or harmful.We may investigate, remove, restrict, moderate, or disable User Content at our discretion.Users may be able to report objectionable content or abusive conduct through the Platform or by contacting us. We may investigate, remove content, restrict visibility, suspend accounts, or take other action where we reasonably consider it necessary for safety, compliance, platform integrity, or user protection.
7. Payments, Paid Sessions, Digital Features, and Billing
7.1 Real-World Paid SessionsuDINK may allow users to join certain paid pickleball sessions, events, open play slots, or other real-world activities listed on the Platform (“Paid Sessions”).Payments for Paid Sessions are payments for participation in a real-world activity at a physical venue or location. They are not payments for digital content, digital consumption, or general app access unless expressly stated otherwise.uDINK may facilitate payment for Paid Sessions through third-party payment service providers, including Stripe. By proceeding with payment, you agree that:payment processing may be handled by third-party payment providers;additional terms and policies of those payment providers may apply;uDINK does not itself store your full card details unless expressly stated;a completed payment request does not guarantee participation where the session is cancelled, changed, removed, oversubscribed, refunded, or otherwise affected by organiser, venue, operational, technical, or legal reasons.7.2 Role of uDINK in Paid SessionsUnless expressly stated otherwise, uDINK acts as a platform facilitating discovery, joining, organisation, communication, and payment flow support for Paid Sessions.uDINK is not the venue operator, coach, tournament organiser, merchant of record for all transactions, or direct provider of the underlying physical activity unless expressly identified as such for a specific session.The relevant host, organiser, venue, or operator remains responsible for the actual conduct, fulfilment, accuracy, timing, pricing, availability, cancellation, refund policy, participant requirements, venue rules, venue access, and on-ground delivery of the session, except to the extent uDINK is expressly stated to be handling those matters.7.3 Pending, Confirmed, Expired, and Waitlist StatusWhere supported by the Platform, a user’s session participation status may include states such as pending payment, confirmed, expired, waitlist, offered, or similar operational labels.uDINK may update these statuses automatically based on payment completion, timeout windows, session capacity, waitlist processing, cancellations, or system logic.uDINK does not guarantee that a pending payment state, payment attempt, or checkout session will reserve a slot indefinitely. Slots may be subject to expiry, release, reallocation, or waitlist rules.7.4 Refunds, Cancellations, and Session Changes for Paid SessionsRefunds, cancellation rights, no-show treatment, credits, partial refunds, and rescheduling outcomes for Paid Sessions may depend on:the policy stated for the relevant session, organiser, host, venue, or operator;whether the payment was successfully completed;applicable consumer protection law;whether the session was cancelled, materially changed, or not delivered.Unless required by applicable law or expressly stated otherwise, uDINK does not guarantee refunds for:change of mind;failure to attend;late arrival;user scheduling conflicts;dissatisfaction with other attendees, skill mix, or subjective experience;unused or partially used participation.Where uDINK processes or facilitates a refund, reversal, or adjustment, it may do so in accordance with applicable payment processor rules, organiser instructions, internal policy, or applicable law.7.5 Digital Features, Subscriptions, and Other In-App PurchasesuDINK may also offer digital features, subscriptions, upgrades, or other digital entitlements separate from Paid Sessions.Such digital purchases are licensed, not sold. When you purchase a digital feature through uDINK, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use that feature within the Platform, subject to these Terms.No ownership rights in the Platform, software, or intellectual property are transferred to you.7.6 Apple App Store Digital PurchasesIf you purchase a digital feature or subscription through Apple’s App Store:billing, subscription management, cancellation, and refund handling are generally governed by Apple’s systems and policies;your use of those purchases is also subject to Apple’s applicable terms.7.7 Google Play Digital PurchasesIf you purchase a digital feature or subscription through Google Play:billing, subscription management, cancellation, and refund handling are generally governed by Google Play’s systems and policies;where required by Google Play policy, digital goods and services offered in the app are billed through Google Play’s billing system.7.8 Group-Specific Paid FeaturesIf uDINK offers paid features such as group upgrades, member-limit increases, or other group-specific digital entitlements:the purchase applies only to the specific group, feature, or entitlement for which it was made;the entitlement does not transfer to another user, account, group, or platform;the entitlement may be revoked or terminated if the relevant group or account is deleted, suspended, or terminated under these Terms.7.9 SubscriptionsIf uDINK offers recurring subscriptions:subscriptions automatically renew unless cancelled in accordance with the applicable app store’s rules;subscription management must be handled through the platform through which the subscription was purchased, such as Apple ID subscription settings or Google Play subscription management;pricing, billing cycles, renewal timing, and cancellation mechanics are governed by the applicable store rules and product settings.7.10 Promotions and Offer CodesuDINK may offer promotions, introductory pricing, offer codes, or other promotional entitlements where supported by the applicable platform.Eligibility, availability, redemption, and restrictions may be governed by:these Terms;the applicable app store’s rules;the specific promotion terms presented to you.7.11 No Cash ValueUnless expressly required by law, digital entitlements, promotional credits, offer access, upgrades, or similar non-cash benefits have no cash value, are non-transferable, and are not redeemable for cash.
8. Billing Disputes
If you believe a payment was made in error or wish to raise a billing issue, contact us at Admin@uDINK.app and, where relevant, the applicable payment provider, app store, organiser, host, or venue.Billing disputes relating to:digital purchases through Apple are generally handled through Apple’s processes;digital purchases through Google Play are generally handled through Google Play’s processes;Paid Sessions processed through third-party payment providers may also be subject to those providers’ dispute and chargeback procedures.We reserve the right to suspend or restrict accounts, session access, future purchases, or related features where chargebacks, payment abuse, fraud concerns, or unresolved billing disputes arise.
9. Third-Party Services
The Platform may integrate or interoperate with third-party products or services, including authentication providers, mapping services, analytics services, media services, hosting services, payment processors, and platform services such as Apple App Store and Google Play.Your use of third-party services is governed by the terms and policies of those third parties. We are not responsible for third-party products, content, billing systems, payment services, or other services.You must comply with any applicable third-party terms when using the Platform, including platform, payment, and billing-related rules.
10. Intellectual Property
The Platform, including its software, design, branding, trademarks, logos, text, graphics, interfaces, databases, features, and content, is owned by or licensed to uDINK and is protected by intellectual property laws.Except for the limited license expressly granted in these Terms, no right, title, or interest in or to the Platform or any intellectual property is transferred to you.You may not copy, modify, distribute, reproduce, reverse engineer, decompile, sell, lease, sublicense, or exploit the Platform except as expressly permitted by law or by us in writing.
11. Privacy
Your use of the Platform is also subject to our Privacy Policy, which explains how we collect, use, store, disclose, and protect your personal data.By using the Platform, you acknowledge and agree to our Privacy Policy.
12. Suspension, Termination, and Account Deletion
We may suspend or terminate your access to the Platform at any time if:you breach these Terms;you engage in conduct that is harmful to the Platform or other users;we are required to do so by law, regulation, court order, or platform policy;we discontinue the Platform or relevant features.You may stop using the Platform at any time and may request deletion of your account in accordance with our Privacy Policy and in-app account deletion flow.Termination or deletion does not affect:accrued rights or obligations;payment obligations already incurred;provisions of these Terms that are intended to survive termination.Deletion of your account may not automatically remove all historical session, transaction, safety, moderation, dispute, legal-compliance, fraud-prevention, tax, accounting, or recordkeeping data where retention is reasonably necessary for legal, operational, fraud-prevention, accounting, security, enforcement, or compliance purposes.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”uDINK DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF:MERCHANTABILITY;FITNESS FOR A PARTICULAR PURPOSE;TITLE;NON-INFRINGEMENT;AVAILABILITY;ACCURACY;RELIABILITY;SECURITY;QUIET ENJOYMENT.We do not guarantee that:the Platform will always be available, uninterrupted, timely, or error-free;any session, venue, player, group, host, organiser, or event will meet your expectations;defects will be corrected;the Platform will be free of viruses or harmful components;information on the Platform will be complete, accurate, or current.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, uDINK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.This includes claims arising from:user conduct;user content;venue or session disputes;cancellations, no-shows, or rescheduling;injuries or accidents;service interruptions;device issues;payment platform issues;chargebacks or failed payment flows;unauthorized access;third-party services.TO THE MAXIMUM EXTENT PERMITTED BY LAW, uDINK’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:USD 100; orTHE AMOUNT YOU PAID TO uDINK OR THROUGH THE PLATFORM FOR THE RELEVANT SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.Nothing in these Terms excludes or limits liability that cannot lawfully be excluded.
15. Indemnity
You agree to indemnify, defend, and hold harmless uDINK, its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any claims, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to:your use of the Platform;your User Content;your breach of these Terms;your violation of law;your infringement of third-party rights;your participation in any activity, session, payment flow, or interaction arranged through the Platform.
16. Changes to the Platform or These Terms
We may modify, suspend, discontinue, or update any part of the Platform at any time.We may also amend these Terms from time to time. If we make material changes, we may provide notice through the Platform, website, or other reasonable means.Your continued use of the Platform after updated Terms become effective constitutes your acceptance of the updated Terms.
17. Apple-Specific Notice
If you use uDINK on an Apple device or obtain the app through Apple’s App Store:these Terms are between you and ActivEdge Solutions Pte. Ltd., not Apple;Apple is not responsible for the Platform or its content;Apple has no obligation to furnish maintenance or support services for the Platform;Apple is not responsible for addressing claims relating to the Platform, including product liability claims, legal compliance claims, consumer protection claims, or intellectual property infringement claims;to the extent permitted by applicable law, Apple is a third-party beneficiary of these Terms and may enforce these Terms against you.
18. Google Play / Android-Specific Notice
If you use uDINK on an Android device or obtain the app through Google Play:these Terms are between you and ActivEdge Solutions Pte. Ltd., not Google;where required by Google Play policy, digital goods and services offered in the app are billed through Google Play’s billing system;subscriptions purchased through Google Play are managed through Google Play’s subscription management tools;refunds, cancellations, revocations, and billing outcomes for digital purchases may be governed by Google Play’s policies and processes.Google is not responsible for providing support for the Platform except to the extent required under Google’s own policies or applicable law.
19. Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to the Platform or these Terms shall be governed by the laws of Singapore, without regard to conflict of laws principles.You agree that the courts of Singapore shall have exclusive jurisdiction over such disputes, except where applicable law requires otherwise.
